Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SilentFrontier AB ("Company", "we", "our", or "us") regarding your use of our website located at silentfrontier.world and our spa business optimization services.

By accessing or using our website or services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our website or services.

Description of Services

All services are provided subject to separate service agreements and these Terms. Service specifications, deliverables, and pricing will be detailed in individual contracts or proposals.

User Obligations

When using our website or services, you agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your account credentials
• Use our services only for lawful business purposes
• Comply with all applicable laws and regulations

Payment Terms

• All fees are quoted in Euros (EUR) unless otherwise specified
• Payment is due within 30 days of invoice date unless otherwise agreed
• Late payments may incur interest charges as permitted by law
• All prices are exclusive of applicable taxes, which will be added where required
• Refund policies will be detailed in individual service agreements

Intellectual Property

SilentFrontier retains all rights, title, and interest in and to our proprietary methodologies, frameworks, tools, and materials developed independently of client engagements. This includes:

• Website content, design, and functionality
• Business optimization methodologies and frameworks
• Training materials and documentation
• Software tools and analytical models
• Trademarks, service marks, and trade names

Client-specific deliverables and customised solutions will be governed by the terms of individual service agreements. You may not reproduce, distribute, or create derivative works from our proprietary materials without express written permission.

Any feedback, suggestions, or ideas you provide regarding our services may be used by SilentFrontier without restriction or compensation.

Confidentiality

We understand the sensitive nature of business information shared during our engagements. SilentFrontier commits to:

• Maintaining strict confidentiality of all client information
• Using client information solely for service delivery purposes
• Implementing appropriate security measures to protect confidential data
• Not disclosing client information to third parties without consent
• Returning or destroying confidential information upon request

Detailed confidentiality provisions will be included in individual service agreements.

Limitation of Liability

To the maximum extent permitted by law, SilentFrontier's liability for any claims arising from or related to our services or these Terms shall be limited as follows:

• Our total liability shall not exceed the total amount paid by you for the specific services giving rise to the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We disclaim liability for lost profits, lost revenue, lost data, or business interruption
• Our liability for any single incident shall not exceed €50,000

These limitations apply regardless of the legal theory upon which the claim is based and even if we have been advised of the possibility of such damages.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

Disclaimers

Our services and website are provided "as is" and "as available" without warranties of any kind. We specifically disclaim:

• Any warranties of merchantability or fitness for a particular purpose
• Guarantees of specific business results or performance improvements
• Warranties that our services will be uninterrupted or error-free
• Any representations about the accuracy or completeness of content

Business results depend on numerous factors beyond our control, and past performance does not guarantee future results.

Governing Law

These Terms and any disputes arising from or related to our services shall be governed by and construed in accordance with the laws of Sweden, without regard to conflict of law principles.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Stockholm, Sweden, and you hereby consent to the personal jurisdiction of such courts.

For clients located in other EU member states, you may also bring proceedings in the courts of your country of residence in accordance with applicable EU regulations.

Termination

These Terms remain in effect until terminated by either party. We may terminate or suspend your access to our website or services immediately, without prior notice, for any reason, including breach of these Terms.

You may terminate these Terms at any time by discontinuing use of our website and services. Active service agreements will be governed by their specific termination provisions.

Upon termination:

• Your right to use our website and services will cease immediately
• Any outstanding payment obligations will remain due
• Confidentiality obligations will survive termination
• You must cease use of any proprietary materials

Provisions that by their nature should survive termination will remain in effect, including intellectual property rights, limitation of liability, and governing law clauses.

Force Majeure

SilentFrontier shall not be liable for any failure or delay in performance under these Terms that is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or technical failures.

In such events, we will make reasonable efforts to mitigate the impact and resume normal service as soon as practicable.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or by email to registered users. Continued use of our services after such modifications constitutes acceptance of the updated Terms.

If you do not agree to the modified Terms, you must discontinue use of our services. For active service engagements, existing agreements will continue under their original terms unless specifically amended.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The unenforceable provision will be replaced with an enforceable provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and SilentFrontier regarding the subject matter herein and supersede all prior communications and agreements.

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.
